Members' Written Resolution

Amending LBMA's Articles of Association.

To: Voting Members 

LBMA’s Board is proposing amendments to the Articles of Association, which were last updated in 2016. These amended Articles seek to:

  • Simplify Membership categories; 
  • Provide weighted voting rights to all Members;
  • Align LBMA's governance framework with best practice; and
  • Provide the option to hold a virtual AGM. 
  • This Summary of Changes provides more detail. Please note, the Memorandum of Association remains unchanged.

    LBMA requires 75% of its Members to approve the amendments to the Articles. This is done by way of voting for a Written Resolution. By confirming your approval of the Resolution, your vote counts towards the 75% threshold requires to pass the amendments.

    How to Submit Your Vote

    If you agree with the Resolution, please submit your vote on behalf of your organisation with the text below.

    The undersigned, a person entitled to vote on the Resolution dated 15 September 2020, hereby irrevocably agrees to the Resolution.

    You can reply to this message or email Rachel.Hart@lbma.org.uk. You must include your email signature when responding as proof of identity. Failure to do so may mean your vote is not counted in line with the UK Companies Act requirements.

    Deadline

    Please make best efforts to vote on the Resolution before LBMA's AGM, taking place on 29 September. The Resolution must be passed by Members before 13 October. After this date, the Resolution will lapse.
